With a thorough understanding of data privacy and the stringent regulations governing student data, Chris ensures his clients are well-prepared and fully compliant with federal and state student privacy laws and regulations including FERPA, COPPA and SOPIPA, along with relevant state and district level regulations.  In addition, Chris works with clients to ensure compliance with international, federal and state data privacy laws and regulations that impact Educational Technology and other businesses including CCPA, VCDPA, CPA, CTDPA, DPDPA, FDBR, MODPA and TDPSA . He keeps abreast of this rapidly evolving field, proactively advising clients on potential risks and opportunities. 

In addition to solving his clients’ data privacy and contracting questions, Chris offers companies practical advice for the legal and operational aspects of running their business. Having prior experience managing a business with hundreds of employees and as in-house counsel, Chris provides strategic guidance on day-to-day operations, risk management, and long-term planning. From forming a new business, to growing via merger or acquisition, to navigating the sales and succession planning for a more mature enterprise, Chris seeks to understand his clients' goals and risk tolerance to offer tailored legal solutions.

Outside of work, Chris enjoys spending time in the mountains with family and friends, the agony of watching his favorite Washington based sports franchises, the dopamine boost from playing guitar, and the zen of riding his motorcycle on Virginia’s many scenic highways and byways.

  • Advised and guided clients through complex due diligence and document production and review associated with start-up funding including Seed, Series A and exit transactions.
  • Drafted and negotiated license and intellectual property transfer agreements from universities to private entities with the intention of commercializing and distributing university owned “inventions” and intellectual property.
  • Counseled clients regarding data privacy laws and student data privacy laws and the application to their individual situation, product or service. Advised clients regarding securing approval for offering software applications in various school districts.
  • Drafted initial outward facing paper for technology and educational technology companies including terms and conditions, privacy policies, non-disclosure agreements, data privacy and sharing agreements and COPPA related direct notices.  
  • Drafted and negotiated complex technology and educational technology related contracts including license agreements, SaaS agreements, strategic partnership agreements and data sharing and use agreements.
  • Provided student data privacy workshops to numerous education technology accelerators including those offered by AWS and Google.
  • Advised foreign entities on establishment of domestic entities in the US for the purpose of offering technology applications to US based schools.
